Giovanni Maria Garegnani

A graduate in Business Administration from Bocconi University in Milan, Giovanni Maria Garegnani has acted as a consultant in M&A transactions, as a technical advisor, both court-appointed and party-appointed, in civil and criminal proceedings and has held numerous positions in leading listed and unlisted companies, as an independent director, chairman or member of Boards of Statutory Auditors, chairman or member of Supervisory Boards. He is currently Chairman of the Supervisory Board of the Lactalis Italia Spa group and its subsidiaries, Chairman of the Supervisory Board of Renantis SpA, Giuffrè Editore, Bracco SpA, Montenisia Srl and Snam SpA. He also serves as Chairman of the Board of Statutory Auditors of SOL SpA, WeBuild SpA and Fibercop SpA. In 2018, he was appointed Chairman of SEA’s Supervisory Board, a position he still holds.

A graduate in Law from the University of Milan, Daniela Mainini has been working in the field of Industrial Law for over thirty years, and more specifically in the field of corporate criminal law protection, having gained particular experience in the protection of intellectual property and corporate organisational diligence, among other areas. In 1990 she founded the law firm Cirillo Mainini, which became Studio Legale Mainini e Associati in 1998. Appointed among the first Honorary Deputy Public Prosecutors of the Republic at the Milan Magistrate’s Court, from 1990 to 2002 she was Secretary General and Member of the Board of Directors of COLC Italia (Anti-Counterfeiting Committee).
Since 2002, she has been Chairman of the Centro Studi Grande Milano, an association that brings together representatives of businesses, institutions, the third sector and solidarity organisations with the aim of enhancing Milan.
She is Chairman, among others, of the Supervisory Bodies of 2i Rete Gas Spa, 2i Servizi Energetici, Tyco- Jhonson Control, Sharp, SSG Group, Rossetto and Instrumentation Laboratory (Werfen Group).
In 2022, she was appointed as a Board Member of SEA, where she is also a member of the CCRS and SB.

A graduate in Business Administration from Bocconi University in Milan, she qualified as a Chartered Accountant and Auditor.
After almost 10 years in the auditing world at one of the Big Four, in January 1998 she joined SEA Società Esercizi Aeroportuali SPA where she held the position of Administration Director.
In January 2022, she was appointed as Internal Audit Director at SEA and is a member of the Ethics Committee, of the Supervisory Board pursuant to Legislative Decree 231/01 of the company and its subsidiaries and of SACBO (airport operator of Bergamo Airport).
In the performance of Internal Audit activities, she reports hierarchically to the Board of Directors and interfaces with the various managerial and executive committees on Control, Risk and Sustainability issues.
On behalf of the Board of Directors, she carries out audit activities on the adequacy and effective implementation of SEA’s Management System for Corruption Prevention, certified according to the UNI ISO 37001:2016 Standard.
She is currently a member of the Board of Auditors and Supervisory Board of the Italian Association of Internal Auditors.
In compliance with the provisions of Article 6(1)(b) of Legislative Decree 231/01, the Board of Directors established the Supervisory Board with the task of continuously monitoring the effective functioning of and compliance with the Company’s Model 231, as well as updating it, proposing amendments and/or additions to the Board of Directors in all cases where, pursuant to the Decree, this is necessary.
All the members of the BoD have the necessary requisites of integrity, professionalism, autonomy and independence and perform the duties assigned to it, guaranteeing its necessary continued operation.
The Supervisory Board is composed in collegiate form of four members, including:
- three external members, chosen from experts and professionals with proven expertise and experience in internal auditing, governance, legal and ethical issues
- an internal member, identified as the Company’s Internal Audit Manager.
The term of office of the Supervisory Board coincides with that of the Board of Directors and its mandate expires on the date of the Shareholders’ Meeting convened to approve the financial statements for the last financial year of the Board of Directors that appointed it, although it will continue to perform its duties ad interim until new members of the Supervisory Board are appointed.
