Luciana Sara Rovelli
Chairman
Graduated with honors in Business Administration from Luigi Bocconi University in Milan, Luciana Sara Rovelli is a consultant in Corporate Governance, Compliance, and Risk Management. With over 28 years of professional experience, she began her career at Arthur Andersen as an auditor, then continued her training in the consulting services of Deloitte and Protiviti, where, as a senior manager, she specialized in services primarily related to corporate governance, risk assessment, design and implementation of internal control systems, and compliance models pursuant to Legislative Decree 231/01.
Since 2010, she has been a founding partner of RC Advisory Srl, a consulting firm serving leading Italian and international companies and groups, mainly operating in the infrastructure, energy & utilities, medical and pharmaceutical, luxury, retail, and banking sectors. Also since 2010, she has held numerous positions as Chair or member of Supervisory Bodies of major listed and unlisted companies.
Currently, among others, she serves as Chair of the Supervisory Bodies of ASTM, Tecnimont, Acinque, Kering, Medtronic, and Douglas. Furthermore, since 2024, she has been a member of the Executive Board of the Association of Supervisory Bodies (AODV231).
Over the past ten years, she has also served as an independent director in listed companies, Chair of the Risk and Sustainability Committee, and Chair of the Remuneration and Nomination Committee. From 2019 to 2025, she has held the position of member of the Board of Directors at SEA, as an independent director, Chair of the Control, Risk and Sustainability Committee, and member of the Remuneration and Nomination Committee.

Daniela Mainini
Director
Graduated in Law from the University of Milan, Daniela Mainini has been practicing Industrial Law for over thirty years, with a particular focus on the criminal protection of businesses. She has gained significant experience in the protection of intellectual property and in corporate organizational diligence. In 1990, she founded the law firm Cirillo Mainini, which in 1998 became the Mainini & Associates Law Firm, of which she is the owner.
Appointed among the first Honorary Deputy Public Prosecutors at the Court of Milan, from 1990 to 2002 she served as Secretary General and Member of the Executive Council of COLC Italia (Anti-Counterfeiting Committee) and was the first President of CNAC (National Anti-Counterfeiting Council).
Since 2002, she has been President of the Centro Studi Grande Milano, an association that brings together representatives of businesses, institutions, the third sector, and charitable organizations with the aim of enhancing what makes Milan great.
She is Chair, among others, of the Supervisory Bodies of Albaleasing Spa, A2A Ambiente, EHT, Johnson Controls, Sharp, Rossetto, and Instrumentation Laboratory (Werfen Group). In 2022, she was appointed as a Board Member of SEA, where she currently serves as Vice President.

Antonella Apicella
External member
Graduated in Economics and Management, Antonella Apicella holds a senior position as CFO in a leading Italian company in the electronics sector, where she has been working for over 30 years.
In 2015, she joined the city council of a municipality in Lombardy, taking on the role of councilor for budget and taxation. In 2019, she was first appointed as Chair of the Supervisory Body at SEA Energia SpA, and later in 2022, she took on the role within the Supervisory Body of SEA SpA, where she currently serves as an external member.

Rossella De Bartolomeo
Internal member
Graduated in Business Administration from Bocconi University in Milan, she is qualified to practice as a Chartered Accountant and Statutory Auditor.
After a ten-year experience in auditing at one of the leading international consulting firms, in January 1998 she joined SEA – Società Esercizi Aeroportuali S.p.A., where she took on the role of Director of Administration, with responsibility for coordinating complex functions including Tax and Credit Management areas.
Since 2022, she has held the position of Director of Internal Audit, reporting directly to the Board of Directors. In this role, she is responsible for planning and coordinating internal audit activities, interfacing with management and board-level committees on issues related to internal control, risk management, and sustainability.
She also carries out oversight activities on the effective implementation of the Anti-Corruption Management System, certified according to UNI ISO 37001:2016. She is a member of the Ethics Committee and the Supervisory Body pursuant to Legislative Decree 231/01 of SEA S.p.A., of its subsidiary SEA Prime S.p.A. – a SEA Group company that manages the general aviation infrastructure at Milan Linate and Malpensa airports – of SACBO S.p.A., the company managing Bergamo-Orio al Serio Airport, and of Areas Food Service S.r.l., active in airport food services.
She also provides specialist training for the Association of Supervisory Body Members (AODV), focusing on issues related to the administrative liability of entities.
In the 2024–2025 biennium, she participated as a speaker at conferences organized in collaboration with the Union of European Lawyers (UAE), including: - “Mod. 231 – Application in airport service management companies,” at the Chamber of Deputies (Rome); - “Mod. 231 – Application in airport service management and public transport companies,” at the Western Sicily Sea Port System Authority (Palermo).
She is also a member of the Board of Auditors and the Supervisory Body of the Italian Association of Internal Auditors (AIIA), as well as a member of the National Observatory 231/2001 of the National Council of Chartered Accountants and Accounting Experts (CNDCEC).
In compliance with the provisions of Article 6(1)(b) of Legislative Decree 231/01, the Board of Directors established the Supervisory Board with the task of continuously monitoring the effective functioning of and compliance with the Company’s Model 231, as well as updating it, proposing amendments and/or additions to the Board of Directors in all cases where, pursuant to the Decree, this is necessary.
All the members of the BoD have the necessary requisites of integrity, professionalism, autonomy and independence and perform the duties assigned to it, guaranteeing its necessary continued operation.
The Supervisory Board is composed in collegiate form of four members, including:
- three external members, chosen from experts and professionals with proven expertise and experience in internal auditing, governance, legal and ethical issues
- an internal member, identified as the Company’s Internal Audit Manager.
The term of office of the Supervisory Board coincides with that of the Board of Directors and its mandate expires on the date of the Shareholders’ Meeting convened to approve the financial statements for the last financial year of the Board of Directors that appointed it, although it will continue to perform its duties ad interim until new members of the Supervisory Board are appointed.
